This policy establishes the operational, legal, financial, cybersecurity, and commercial safeguards required to protect Nexacore Intelligence from liability, financial loss, reputational damage, misuse of services, and legal disputes arising from the delivery of consulting, AI automation, marketing, analytics, advisory, and technology-related services.

This policy applies to all employees, contractors, consultants, freelancers, partners, and representatives acting on behalf of Nexacore Intelligence.

2. COMPANY POSITION

Nexacore Intelligence provides advisory, automation, AI implementation, marketing systems, workflow optimisation, business intelligence, funding support, and strategic consulting services.

The company does not guarantee:

Specific financial results

Guaranteed sales increases

Guaranteed grant approvals

Guaranteed ROI

Guaranteed automation performance

Guaranteed uninterrupted digital services

All services are provided on a best-efforts and professional advisory basis.

3. LIMITATION OF LIABILITY

Nexacore Intelligence shall not be held liable for:

Indirect losses

Consequential losses

Loss of profits

Loss of revenue

Loss of business opportunities

Data loss caused by third-party platforms

Client misuse of systems or recommendations

Platform outages

Cyberattacks beyond reasonable company control

Regulatory penalties caused by client misuse

Decisions made solely by AI-generated outputs

Maximum liability for any claim shall be limited to the total fees paid by the client within the previous 90 days preceding the claim.

Under no circumstances shall Nexacore Intelligence be liable for damages exceeding the contracted service value.

4. CLIENT RESPONSIBILITY

Clients remain fully responsible for:

Final business decisions

Regulatory compliance

Financial decisions

Advertising compliance

Data accuracy

Legal review of implemented systems

Employee usage of AI systems

Security of client-owned accounts

Clients acknowledge that AI and automation systems may produce inaccurate, incomplete, or unexpected outputs and should not be relied upon without human verification.

5. PAYMENT PROTECTION POLICY

All invoices must be paid according to agreed payment terms.

The company reserves the right to:

Suspend services for overdue invoices

Charge late payment fees

Retain ownership of work until payment is received

Disable automation systems for non-payment

Withhold deliverables until balances are cleared

Deposits are non-refundable once project work has commenced.

Custom strategy work, consulting time, and digital implementation hours are billable regardless of project completion status where delays are caused by the client.

6. SCOPE OF WORK CONTROL

All projects must include:

Defined deliverables

Timelines

Revision limits

Communication boundaries

Approval procedures

Any work outside agreed scope shall require:

Written approval

Additional quotation

Updated timeline agreement

Verbal requests shall not amend contractual obligations unless confirmed in writing.

7. DATA PROTECTION & CONFIDENTIALITY

Nexacore Intelligence shall:

Handle client information confidentially

Implement commercially reasonable cybersecurity safeguards

Restrict access to sensitive information

Use secure password management practices

Maintain encrypted storage where practical

The company shall not be responsible for:

Third-party software vulnerabilities

Client-side security failures

Breaches caused by weak client credentials

External attacks outside reasonable operational control

Employees and contractors must not:

Share client information externally

Use confidential information for personal gain

Download client data onto unsecured devices

8. AI & AUTOMATION DISCLAIMER

AI systems may:

Produce inaccurate information

Misinterpret data

Generate biased outputs

Experience technical interruptions

All AI-generated outputs must be reviewed by a qualified human before implementation.

Nexacore Intelligence does not warrant:

Accuracy of AI outputs

Continuous AI platform availability

Compatibility with future software updates

Compliance with changing regulations

The company shall not be liable for damages arising from reliance on automated outputs without independent verification.

9. INTELLECTUAL PROPERTY

All methodologies, frameworks, templates, automation systems, marketing structures, documentation, prompts, code, workflows, strategies, and proprietary systems developed by Nexacore Intelligence remain the intellectual property of the company unless otherwise agreed in writing.

Clients receive a limited non-transferable license to use delivered work solely for internal business purposes.

Clients may not:

Resell systems

Copy proprietary frameworks

Reverse engineer automations

Share internal documentation publicly

Transfer deliverables to competitors

10. THIRD-PARTY SOFTWARE & SERVICES

Nexacore Intelligence may integrate or recommend third-party tools, platforms, APIs, software, or cloud services.

The company is not responsible for:

Third-party outages

API failures

Subscription changes

Platform policy changes

Service discontinuations

Pricing increases by external providers

Clients remain responsible for maintaining active subscriptions where required.

11. TERMINATION RIGHTS

Nexacore Intelligence reserves the right to terminate services immediately where:

Abuse occurs

Harassment occurs

Fraud is suspected

Illegal activity is identified

Payment obligations are breached

Clients misuse systems

Company reputation is threatened

Upon termination:

Outstanding fees become immediately payable

Access to systems may be revoked

Ongoing support obligations cease

12. NON-DISPARAGEMENT

Clients, contractors, and representatives shall not knowingly publish false, misleading, or malicious statements intended to damage the reputation of Nexacore Intelligence.

Legitimate reviews and lawful complaints are excluded from this provision.

13. RECORD KEEPING

The company shall maintain:

Signed agreements

Invoice records

Communication logs

Project approvals

Security incident records

Client change requests

Records may be retained for compliance, legal, operational, and evidentiary purposes.

14. COMPLIANCE

All representatives of Nexacore Intelligence must comply with:

UK GDPR

Data Protection Act 2018

Intellectual property laws

Consumer protection laws

Applicable advertising standards

Applicable AI governance requirements

15. FORCE MAJEURE

Nexacore Intelligence shall not be liable for delays or failures caused by events beyond reasonable control, including:

Cyberattacks

Internet outages

Government restrictions

Natural disasters

Labour disputes

Power failures

Platform outages

AI provider disruptions

16. GOVERNING LAW

This policy shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. POLICY ENFORCEMENT

Failure to comply with this policy may result in:

Disciplinary action

Contract termination

Legal proceedings

Financial recovery action

18. POLICY REVIEW

This policy shall be reviewed annually or following:

Regulatory changes

Cybersecurity incidents

Major operational changes
